1.2.  These Terms constitute an electronic record and do not require physical or digital signatures. They apply to consumers located in India purchasing goods sold directly by Aadai under an inventory model.

2.  Eligibility and Accounts

2.1.  You must be able to enter into legally binding contracts under the Indian Contract Act, 1872. If you are under eighteen years of age, you may use the Website only with the involvement of a parent or lawful guardian.

2.2.  To transact on the Website, you may create an account by providing accurate, current and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2.3.  You must notify us immediately of any suspected unauthorised access or security breach. We may suspend, restrict or terminate access where we reasonably believe there is misuse, fraud, unlawful activity, or breach of these Terms.

4.1.  Aadai publishes on the website its legal name, registered office addresses, customer care email and phone numbers, and the name, designation and contact details of the Grievance Officer responsible for consumer grievances.

4.2.  We display total prices for goods in a single figure, together with the breakdown of taxes and applicable delivery, convenience or website fees where relevant.

4.3.  We provide clear information on payment methods, security of those methods, any fees or charges payable by users, procedures to cancel regular payments under those methods, charge‑back options (if any), and payment service provider contact details.

5.  Contract of Sale; Order Process

5.1.  Listing and display of goods on the Website is an invitation to offer. Your order constitutes your offer to buy the goods.

5.2.  We accept your offer and conclude the contract of sale for the goods when we dispatch the goods and notify you of dispatch by email, SMS or in‑app notification (the “Dispatch Confirmation”). If an order is dispatched in multiple packages, each Dispatch Confirmation completes a separate contract for the goods specified therein.

5.3.  We may, before dispatch, refuse or cancel any order in whole or part for reasons including unavailability of product, pricing or technical errors, inability to verify delivery details, fraud risk or legal compliance. We will inform you and, where applicable, initiate a refund in accordance with our Cancellation Policy.

6.  Product Information; Authenticity; Variations

6.1.  We endeavour to ensure that product descriptions, images and other content correspond to actual characteristics and features.  However, minor variations in colour, finish or image representation may occur due to screen settings, lighting or manufacturing tolerances, and such minor variations do not of themselves constitute defects.

6.2.  Please review product pages for item‑specific eligibility for returns or exchanges, care instructions, warnings and any warranty terms offered by manufacturers or Aadai.

7.  Pricing, Taxes and Charges

7.1.  Prices displayed include applicable taxes unless stated otherwise.  Additional charges such as delivery or convenience fees, if any, are displayed transparently during checkout.

7.2.  You are responsible for payment of all amounts associated with your purchases, including applicable taxes and charges.

8.  Payment Methods; Security

8.1.  Payments may be made using available payment modes displayed at checkout.  We process payment information through approved payment service providers and do not store full card numbers on our systems.

9.  Delivery; Risk and Title

9.1.  We aim to deliver within the timelines indicated during checkout, subject to logistics and pin‑code availability.  Dispatch estimates are indicative and not guaranteed unless expressly stated.

9.2.  Risk in the goods passes to you upon delivery at the address specified in your order.  Title transfers to you upon delivery and receipt of full payment.

9.3.  Please refuse delivery where packaging appears tampered or damaged and promptly notify customer care so we can assist under our policies.

11.  Returns, Exchanges and Refunds

11.1.  Returns, exchanges and refunds are governed by our Return, Exchange and Refund Policy, which forms part of these Terms.

11.2.  Please refer to the Return, Exchange and Refund Policy for eligibility criteria, windows, non‑returnable categories, verification checks, quality inspections, refund modes and timelines, charges and abuse prevention.

11.3.  We do not refuse returns or refunds where goods are defective, deficient, spurious, not of the characteristics or features as advertised or agreed, or delivered late without force majeure.  Your statutory rights are preserved.

12.  Promotions, Combo Packs and Free Gifts

12.1.  Where promotional items or free gifts are tied to qualifying purchases, cancellation or return may require the associated items to be returned unopened and unused, in accordance with the terms of the promotion and our policies.

12.2.  For purchases forming part of a combo pack, cancellation or return may apply to the entire pack in accordance with the applicable promo terms and our policies.

13.  User Conduct and Website Use

13.1.  You must use the Website for lawful purposes and in a manner that does not impair its operation, security or the experience of other users.

13.2.  You must not host, display, upload, modify, publish, transmit, update or share any content that is unlawful, harmful, defamatory, obscene, invasive of privacy, infringing of IP rights, fraudulent, misleading, impersonating, or containing malware or disruptive code.

13.3.  Aadai may remove content, restrict or terminate access, and take appropriate action for violations of this paragraph.

14.  Reviews and User Content

14.1.  You may post reviews and other content where enabled, provided such content is accurate and complies with paragraph 13. We prohibit falsely representing yourself as a consumer, posting fabricated reviews or misrepresenting product quality or features.

14.2.  By submitting content, you grant Aadai a worldwide royalty‑free, perpetual, irrevocable, non‑exclusive licence at no cost, to use, reproduce, display, adapt and distribute such content for Website operations and promotions, subject to applicable law.

14.3.  We may moderate, remove or refuse content in our reasonable discretion.

15.  Intellectual Property

15.1.  All content on the Website, including text, graphics, logos, images, data compilations and software, is owned by or licensed to Aadai and protected by applicable IP laws.  You may not reproduce, extract, re‑utilise, frame or create derivative works from Website content without our prior written consent.

15.2.  All trademarks, trade names and logos displayed on the Website are the property of Aadai or their respective owners.  No licence is granted to use any trademark except with prior written consent of the owner.

15.3.  If you believe your IP rights are infringed on the Website, please notify our Grievance Officer with details sufficient to identify the work, rights ownership, alleged infringement and your contact information. We will address complaints in accordance with law.

16.  Communications and Marketing Preferences

16.1.  By placing an order or creating an account, you consent to receive transactional communications by email, SMS, phone calls or in‑app notifications relating to your orders and account.

16.2.  Marketing communications are subject to your opt‑in consent where required.  You may withdraw consent or change preferences through links in communications, account settings or by contacting customer care.

16.3.  Withdrawal of consent may affect our ability to provide certain services, but we will continue processing data necessary to complete existing orders or comply with law, as explained in our Privacy Policy.

17.  Grievance Redressal

17.1.  Aadai maintains an accessible grievance redressal mechanism.  We acknowledge consumer complaints within forty‑eight hours and endeavour to resolve them within one month.

17.2.  We issue a ticket number for each complaint to enable tracking of status.  Details of our Grievance Officer, including name, designation, email, phone, postal address and office hours, are published on the Website.

17.3.  Privacy grievances are handled in accordance with our Privacy Policy and applicable timelines.

18.  Indemnity

18.1.  You agree to indemnify, defend and hold harmless Aadai, its affiliates and their respective officers, directors, employees and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) violation of applicable laws; (c) infringement of IP or other rights; (d) fraudulent, abusive or unlawful activity; or (e) misuse of the Website causing loss to Aadai or third parties.

19.  Warranties; Representations; Disclaimers

19.1.  Except to the extent expressly stated on product pages or required by law, we disclaim implied warranties, including merchantability or fitness for a particular purpose, to the maximum extent permitted by law.

19.2.  Nothing in these Terms excludes or limits rights and remedies available to you under applicable consumer protection laws with respect to defective or deficient goods, misleading advertisements or unfair trade practices.

19.3.  While we take care to avoid inaccuracies, Website content and services are provided on an “as‑is” basis, subject to your statutory rights.

20.  Limitation of Liability

20.1.  To the maximum extent permitted by law, our aggregate liability arising out of or in connection with any order shall not exceed the total amount paid by you for the goods under that order.

22.  Force Majeure

25.  Severability; Waiver; Assignment

25.1.  If any provision of these Terms is held to be unenforceable, the remainder will continue in full force and effect, and the unenforceable provision will be deemed modified to reflect the original intent to the extent permitted by law.

25.2.  Our failure to enforce any provision is not a waiver of our rights.

25.3.  We may assign or transfer our rights or obligations under these Terms to an affiliate or successor; this will not affect your statutory rights. You may not assign these Terms without our prior written consent.

26.  Entire Agreement

26.1.  These Terms, together with the policies referenced herein, constitute the entire agreement between you and Aadai regarding Website use and purchases and supersede prior terms covering the Website, except where specific product‑level terms expressly state otherwise.
