TERMS AND CONDITIONS – AADAI PRIVATE LIMITED

1.  Introduction and Acceptance

 

1.1.  These Terms and Conditions (the “Terms”) govern your access to and purchases from the e‑commerce website operated by Aadai Private Limited (“Aadai”, “we”, “us” or “our”) via our website and mobile application (collectively, the “Website”).  By accessing the Website or placing an order, you agree to be bound by these Terms.

 

1.2.  These Terms constitute an electronic record and do not require physical or digital signatures. They apply to consumers located in India purchasing goods sold directly by Aadai under an inventory model.

 

1.3.  If you do not agree to any provision of these Terms, please do not use or access the Website.  For queries, you may contact customer care using the details published on the Website.

 

2.  Eligibility and Accounts

 

2.1.  You must be able to enter into legally binding contracts under the Indian Contract Act, 1872. If you are under eighteen years of age, you may use the Website only with the involvement of a parent or lawful guardian.

 

2.2.  To transact on the Website, you may create an account by providing accurate, current and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4.3.  We provide clear information on payment methods, security of those methods, any fees or charges payable by users, procedures to cancel regular payments under those methods, charge‑back options (if any), and payment service provider contact details.

5.  Contract of Sale; Order Process

 

5.1.  Listing and display of goods on the Website is an invitation to offer. Your order constitutes your offer to buy the goods.

 

5.2.  We accept your offer and conclude the contract of sale for the goods when we dispatch the goods and notify you of dispatch by email, SMS or in‑app notification (the “Dispatch Confirmation”). If an order is dispatched in multiple packages, each Dispatch Confirmation completes a separate contract for the goods specified therein.

 

5.3.  We may, before dispatch, refuse or cancel any order in whole or part for reasons including unavailability of product, pricing or technical errors, inability to verify delivery details, fraud risk or legal compliance. 11.3.  We do not refuse returns or refunds where goods are defective, deficient, spurious, not of the characteristics or features as advertised or agreed, or delivered late without force majeure.  Your statutory rights are preserved.

 

12.  Promotions, Combo Packs and Free Gifts

 

12.1.  Where promotional items or free gifts are tied to qualifying purchases, cancellation or return may require the associated items to be returned unopened and unused, in accordance with the terms of the promotion and our policies.

 

12.2.  For purchases forming part of a combo pack, cancellation or return may apply to the entire pack in accordance with the applicable promo terms and our policies.

14.2.  By submitting content, you grant Aadai a worldwide royalty‑free, perpetual, irrevocable, non‑exclusive licence at no cost, to use, reproduce, display, adapt and distribute such content for Website operations and promotions, subject to applicable law.

 

14.3.  We may moderate, remove or refuse content in our reasonable discretion.

 

15.  Intellectual Property

16.1.  By placing an order or creating an account, you consent to receive transactional communications by email, SMS, phone calls or in‑app notifications relating to your orders and account.
